Models Office International BV

All bookings, placements and services provided by Models Office International are subject to the following Terms & Conditions.

1. Applicability

These general terms and conditions apply to all quotations, bookings, agreements, and invoices issued by Models Office International BV (hereinafter referred to as the “Agency”).

By confirming a booking or assignment, the Client acknowledges and accepts these terms and conditions.

The Agency acts solely as an intermediary and representative of the self-employed and independently contracted models it represents.

Nothing in any booking, agreement, or relationship between the parties shall be construed as creating an employment relationship between the Agency and any model represented by the Agency.

 

2. Rates and Services

All services shall be invoiced according to the rates in force at the time of booking or execution of the assignment.

The use of images featuring models represented by the Agency is strictly limited to the purposes, media, territory, and duration agreed upon in writing in advance.

Any extension of usage rights (including media, territory, duration, or campaign scope) must be agreed upon in writing beforehand and may give rise to an additional usage fee (buyout).

 

2.1 Overtime, Fittings and Preparation

Any working time exceeding the agreed booking duration shall be considered overtime and may be invoiced at the applicable overtime rate.

Fittings, rehearsals, castings, preparation sessions, travel days, and any other services performed by the model in connection with the assignment may be charged separately unless expressly agreed otherwise in writing.

Overtime shall be calculated per commenced hour.

 
2.2 Travel and Expenses

All travel, transportation, accommodation, parking, visa, meal, courier and other expenses incurred in connection with the booking shall be borne by the Client and may be invoiced separately where applicable.

Any expenses advanced by the Agency on behalf of the Client shall be reimbursed upon invoicing.

 

3. Invoicing and Payment

Invoices issued by Models Office International BV are payable at the registered office of the Agency and must be settled within thirty (30) days of the invoice date, unless otherwise agreed in writing.

In the event of late payment, default interest at the statutory rate applicable under Belgian law for commercial transactions shall automatically and without prior notice accrue from the invoice due date until full payment has been received.

In addition, the outstanding balance shall automatically be increased by a fixed indemnity of 10% of the invoice amount, with a minimum of EUR 100, without prejudice to the Agency’s right to claim additional damages.

The Agency reserves the right to refuse or suspend future bookings in the event of overdue payments.

 

4. Use of Images and Publication

The use of images featuring the models is only permitted once the relevant invoice has been paid in full.

The Client may only use the images for the campaign, media channels, and duration agreed upon in advance. Any reuse, republication, media extension, or use outside the agreed context requires the Agency’s prior written approval.

No license, usage right, publication right or exploitation right shall be deemed granted until full payment of all related invoices has been received by the Agency. Any use prior to full payment shall constitute unauthorized use and may give rise to additional fees and damages.

 

4.1 Unauthorized Use

Any unauthorized use of images, videos or other content featuring a model represented by the Agency shall entitle the Agency to invoice additional usage fees, damages and legal costs, without prejudice to any other rights or remedies available under applicable law.

 

5. Social Media and Online Use

The use of images on social media platforms, including but not limited to Instagram, TikTok, Facebook, YouTube, Pinterest, Snapchat, and LinkedIn, must be expressly agreed upon in advance.

Should images be used on social media without prior authorization or outside the agreed conditions, the Agency reserves the right to invoice an additional usage fee or buyout.

Editing, filtering, manipulating, or altering images of the model is not permitted without the Agency’s prior written approval, except for technical adjustments strictly necessary for publication.

 

6. Artificial Intelligence and Digital Replicas

It is strictly prohibited to use images of the models or their likeness for:

  • the training or development of artificial intelligence (AI) systems;
  • machine learning applications or datasets;
  • generative AI or synthetic image creation;
  • deepfakes or digital replicas;
  • any form of AI-generated manipulation, reproduction, or simulation of the model.

 

A “digital replica” shall mean any technologically generated image, video, or visual representation that wholly or partially simulates the appearance, face, body, or likeness of the model. Such use is only permitted with the prior written consent of Models Office International BV. Any consent granted by the Agency under this Article must be explicit and in writing.

The Client shall not authorize or permit any third party to engage in any of the prohibited activities described in this Article.

In the event of a breach of this provision, the Client shall automatically owe liquidated damages equal to at least five (5) times the original usage fee, without prejudice to the Agency’s and the model’s right to claim additional compensation.

 

7. Cancellation and Kill Fee

In the event of cancellation of a confirmed booking by the Client, the following fees shall apply:

  • Cancellation less than 48 hours before the scheduled assignment: 50% of the agreed fee shall remain payable.
  • Cancellation less than 24 hours before the scheduled assignment: 100% of the agreed fee shall remain payable.

If the model is present at the agreed location and the production does not proceed for reasons beyond the Agency’s control, the full agreed fee shall remain payable.

Any costs already incurred, including but not limited to transportation, fittings, preparation, or accommodation expenses, shall remain the responsibility of the client.

The cancellation fees set out in this Article shall remain applicable irrespective of whether the cancellation results from circumstances affecting the Client, including weather conditions, production issues, logistical difficulties or any other event not attributable to the Agency.

 

7.1 Model Availability

While the Agency shall use reasonable efforts to ensure the availability of a booked model, the Agency cannot guarantee the availability of any specific model.

The Agency shall not be liable for cancellations, delays, illness, injury, force majeure events, transportation disruptions, or any circumstances beyond its reasonable control affecting the availability of the model.

 

8. Complaints

Any complaint relating to an invoice must be submitted by registered mail within eight (8) days of receipt.

Failing such notification, the invoice shall be deemed definitively accepted.

 

9. Liability

Models Office International BV shall not be liable for any indirect, consequential, incidental or economic damages arising out of or in connection with any booking, assignment or production. The Agency shall furthermore not be liable for errors, omissions, delays, cancellations or shortcomings of models, suppliers, contractors, transportation providers, venues or any third parties involved in the production.

 
9.1 Portfolio Rights

Unless expressly agreed otherwise in writing, the Agency and the model shall be entitled to use images, videos and other materials resulting from the assignment for portfolio, website, social media, promotional, marketing and self-promotional purposes.

Such use shall not grant any commercial exploitation rights to third parties.

 
9.2 Indemnification

The Client shall indemnify and hold harmless the Agency and the model against any claims, damages, losses, liabilities, costs or expenses (including reasonable legal fees) arising from:

  • unauthorized use of images;
  • breach of these Terms & Conditions;
  • infringement of intellectual property rights;
  • unlawful publication or distribution of content;
  • any use exceeding the agreed usage rights.

This indemnification obligation shall survive termination of the booking or agreement.

 
9.3 Force Majeure

The Agency shall not be liable for any delay, cancellation, non-performance or failure to perform resulting from circumstances beyond its reasonable control, including but not limited to:

  • adverse weather conditions;
  • natural disasters;
  • transportation disruptions;
  • strikes or labour disputes;
  • governmental actions;
  • pandemics or public health emergencies;
  • power outages;
  • internet or telecommunications failures;
  • any other force majeure event.

In such circumstances, the Agency shall be entitled to reschedule the booking where reasonably possible.

 

10. Governing Law and Jurisdiction

All agreements shall be governed exclusively by Belgian law.

Any dispute arising out of or in connection with these Terms & Conditions shall fall under the exclusive jurisdiction of the competent courts of Antwerp, Belgium.
